1. Agreement to Terms

By accessing or using the OrsoMedical website, its features, and any related services, communications, or products (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. "OrsoMedical," "we," and "us" include OrsoMedical and its affiliated physicians, officers, employees, and contractors.

Our Privacy Policy and any additional terms presented for a particular feature, product, or purchase are incorporated into these Terms by reference.

OrsoMedical is operated by a physician licensed in New York and New Jersey. The Service is a fee-for-service educational platform providing AI-generated health information, optional physician review of submitted questions, and dietary supplement products.

Age requirement. You must be at least 18 years old to use the Service or create an account.

2. Nature of Service

2.1 Educational Information Only

OrsoMedical provides general health information for educational purposes only. The Service:

• Does NOT diagnose medical conditions
• Does NOT prescribe medications or treatments
• Does NOT provide emergency or urgent medical services
• Does NOT create a doctor-patient relationship
• Does NOT replace consultation with your personal healthcare provider

2.2 AI-Generated Responses

Initial responses to questions are generated by artificial intelligence. These AI responses:

• Are based on general medical knowledge and literature
• May contain errors, omissions, or outdated information
• Are not tailored to your specific health situation
• Should be verified with a healthcare professional

2.3 Physician Review Services

When you request physician review, a licensed physician reviews your question and may provide a written response. That response:

• Is based solely on the de-identified information you submit, which may be incomplete
• Is made without a physical examination and without access to your medical records, test results, imaging, other diagnoses, or full medication list
• Consists of general recommendations for discussion with your own physician, not instructions
• Does not establish a doctor-patient relationship, and creates no duty to follow up or provide ongoing care
• Does not take precedence over the recommendations of your treating physicians, who know your case in far greater detail

You agree not to start, stop, or change any medication, dose, or treatment plan based on a physician response without first obtaining the approval of your own treating physician.

2.4 Supplements and Health Content

• Statements about dietary supplements have not been evaluated by the U.S. Food and Drug Administration. Our products are not intended to diagnose, treat, cure, mitigate, or prevent any disease.
• Always read product labels, warnings, and directions before using any supplement, and consult your healthcare provider before starting one — particularly if you are pregnant or nursing, have a medical condition, or take prescription medication.
• Health content, articles, and research summaries on the Service may not reflect the most current evidence and are not endorsements of any product, treatment, or third party.

• You must provide accurate account information and keep it current.
• You are responsible for choosing a strong password, keeping your login credentials confidential, and all activity under your account.
• You may not share your account or allow anyone else to access it.
• Notify us promptly at legal@orsomedical.com of any unauthorized use of your account.
• You are responsible for the devices, internet connection, and any costs needed to use the Service.

5. User Responsibilities

5.1 De-Identified Questions

You MUST submit only de-identified questions that contain NO personally identifiable information, including:

• Names (your own or others)
• Dates of birth or exact dates of medical events
• Addresses or specific geographic information
• Phone numbers, email addresses, or social media handles
• Medical record numbers or insurance information
• Social Security numbers
• Any other identifying information

5.2 Acceptable Use

You agree to use the Service only for lawful purposes and not to:

• Interfere with, disrupt, or overload the Service
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Upload viruses or other harmful code
• Submit content that is unlawful, fraudulent, defamatory, harassing, or otherwise objectionable
• Scrape, copy, or collect content or data from the Service by automated means
• Resell products or use the Service for commercial purposes without our written consent
• Submit information about another person unless you have the right to do so

You also agree to seek emergency care for urgent medical situations and to consult your healthcare provider before acting on any information received. We may suspend or terminate access for any violation of these Terms.

6. Fees, Orders, Products, and Shipping

• No Insurance: We do not accept or bill insurance. All fees are paid directly by you at the time of purchase.
• Refunds: Fees for physician review are generally non-refundable once the review has been delivered.
• Pricing and Availability: Prices, product descriptions, promotions, shipping methods and rates, and availability may change at any time. Product images and descriptions may not be exact.
• Orders: Submitting an order is an offer to purchase. An order is accepted only when we send an order confirmation. We may limit quantities or refuse or cancel any order.
• Payment and Taxes: You agree to pay all charges, applicable taxes, and shipping fees, and you represent that you are authorized to use the payment method you provide.
• Fulfillment: Products may be manufactured or fulfilled by third parties. You authorize us to share the information needed to process, fulfill, and ship your order with those parties.
• Compliance: You are responsible for complying with all laws that apply to your purchase and use of products.

7. Content You Submit

You retain ownership of the questions and other content you submit. You grant OrsoMedical a worldwide, royalty-free license to use, store, and process that content to provide, operate, and improve the Service, including in de-identified or aggregated form for quality review, research, and education. Our handling of personal information is described in our Privacy Policy.

We may remove or decline to respond to any content at our discretion. If you send us suggestions or feedback, we may use them without restriction or compensation.

The Service is not a medical records or data-storage service. Keep your own copy of any response you wish to retain.

8. Intellectual Property

The Service and all of its content, including text, graphics, logos, product names, and software, are owned by OrsoMedical or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use.

You may not copy, reproduce, modify, distribute, publish, create derivative works from, or commercially exploit any content from the Service, or remove any copyright or trademark notice, without our prior written consent.

9. Third-Party Services and Links

The Service relies on and may link to third-party services, including payment processing, email delivery, and retailers. We do not control and are not responsible for third-party websites, products, services, content, security practices, or privacy policies, and a link is not an endorsement. Your use of third-party services is governed by their own terms.

As an Amazon Associate, OrsoMedical earns from qualifying purchases made through some links on the Service.

Personal information collected through the Service is governed by our Privacy Policy. We may monitor use of the Service for security, fraud prevention, and compliance with these Terms.

11. Electronic Communications

By creating an account or using the Service, you consent to receive communications from us electronically, including by email and on the Service. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. Service and transaction messages are part of the Service and cannot be opted out of while you have an account.

THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION IS COMPLETE OR CURRENT.

14. Indemnification

You agree to indemnify, defend, and hold harmless OrsoMedical and its physicians, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the Service, any action you take based on information from the Service, your violation of these Terms, or your violation of any rights of another.

15. Termination

We reserve the right to terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive.

16. Dispute Resolution: Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IN ARBITRATION THERE IS NO JUDGE OR JURY, AND DISCOVERY AND APPELLATE REVIEW ARE MORE LIMITED THAN IN COURT.

• Informal resolution first. Before filing any claim, you agree to send a written description of the dispute to legal@orsomedical.com and to try in good faith to resolve it for 30 days.
• Arbitration. Except as stated below, any dispute arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section.
• Small claims. Either party may bring an individual claim in small claims court if it qualifies.
• Jury trial waiver. You and OrsoMedical each waive the right to a trial by jury.
• Class action waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding. If this waiver is found unenforceable for a claim, that claim will proceed in court, not in arbitration.
• Opt-out. You may opt out of this arbitration agreement by emailing legal@orsomedical.com within 30 days after first accepting these Terms, stating your name, account email, and that you opt out of arbitration.
• Where not permitted. If applicable law does not permit arbitration of a particular claim, that claim will be resolved under Section 17.

17. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in New York, and you consent to their jurisdiction.

18. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. Any dispute will be governed by the Terms in effect when the dispute arose.

19. General

These Terms, with the policies they incorporate, are the entire agreement between you and OrsoMedical regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
